The [Ukrainian version](/publichna-oferta/) is the legally binding one and prevails in case of any discrepancy.* Version dated 23.09.2026 This document is an offer by KUROSIO LLC (ТОВ «КУРОСІО», trading as WoodWay Expert) to enter into a contract for the sale of timber, veneer and other materials on the terms set out below. The offer is addressed to any natural person with legal capacity, sole proprietor or legal entity. The offer is drawn up in accordance with Articles 633, 641 and 642 of the Civil Code of Ukraine, the Law of Ukraine “On Electronic Commerce” and the Law of Ukraine “On Consumer Rights Protection” of 12.05.1991 No. 1023-XII (as currently in force). By confirming an order agreed with a manager, or by paying an issued invoice, the Buyer accepts the terms of this offer. From that moment the contract is deemed concluded in writing, and no separate paper copy is required. **The terms of this offer do not limit consumer rights established by law.** If any provision contradicts the law, the law applies. If any term does not suit you, contact a manager to conclude a separate supply contract. ## 1. Definitions **Seller** — KUROSIO LLC (ТОВ «КУРОСІО», trading as WoodWay Expert); its details are given in the last section. **Consumer** — a Buyer who is a natural person purchasing the Goods for personal needs not related to business activity. Consumers are covered by the guarantees of the Law of Ukraine “On Consumer Rights Protection”; certain terms of this offer do not apply to them, as stated in the relevant sections. **Buyer** — a person who has placed an order on the terms of this offer. **Site** — wood-way.expert and its language versions, as well as the Seller’s other official resources. **Goods** — veneer, board materials and sawn timber, edge banding, related materials and processing services, the list and specifications of which are published on the Site or in a manager’s commercial proposal. **Order** — an agreed list of Goods with quantity, price and terms of handover, placed through one of the channels listed in section 3. **Acceptance** — an action by the Buyer that means acceptance of the offer: confirmation of the order or payment of the invoice. **Batch** — one delivery of Goods documented by one delivery note. ## 2. Subject of the contract The Seller undertakes to transfer the Goods into the Buyer’s ownership, and the Buyer undertakes to accept and pay for them on the terms of this offer. The range includes, in particular: - natural sliced veneer in bundles or per square metre; - sawn veneer (lamella); - plywood, furniture panels, blockboard; - veneered boards (MDF, chipboard, blockboard, plywood); - edged and unedged boards of various grades; - veneer edge banding, fleece-backed veneer; - wood glue; - cutting services, preparation of cutting layouts, edge banding, veneering, and making up veneer lay-ons (“shirts”) to the customer’s specification; - and other goods. The specifications, dimensions, grade and availability of each item are stated on the Goods page on the Site or in the invoice. Photographs on the Site are illustrative: the colour and texture of a particular batch may differ (see section 6). The Seller may change the range, specifications and availability of the Goods without prior notice. Goods that are out of stock at the time of ordering are agreed separately, with the delivery time stated. ## 3. Placing an order An order may be placed through any of the channels: the form on the Site, by phone, by e-mail, in a messenger or in person at the Seller’s warehouse. By placing an order, the Buyer confirms that they: - have read the terms of this offer and accept them; - have provided accurate contact and registration details; - have the necessary legal capacity (and, for legal entities, the authority to conclude the contract). The contract is deemed concluded from the moment the Seller confirms the order or from the moment payment is received, whichever occurs first. After confirmation, the Seller sends the Buyer a message (e-mail or messenger) containing: - the list of Goods with their main specifications; - the price, including the cost of delivery, and the payment terms. Unless otherwise agreed, Goods for a Consumer are handed over on time, but no later than 30 days from the date the contract is concluded. If the Goods are not in stock, the Seller informs the Buyer no later than this period and refunds the amount paid. The Seller may refuse to process or may cancel an order if the Goods are out of stock, the Buyer’s details are incomplete or inaccurate, or the order shows signs of abuse. The Buyer is notified of the refusal and the amount paid is refunded in full. ## 4. Price and payment The base price of the Goods is kept in euros. On the Site the price is shown in hryvnias or as a euro equivalent; the hryvnia amount is calculated at the Seller’s rate and may change. **Payment is made exclusively in hryvnias** (Part 2 of Article 524 of the Civil Code of Ukraine). For Goods sold by length, area or volume, the price is determined by the quantity actually released (m², m³, linear metre, sheet) according to the delivery note. The price on the Site is indicative. The final price is the hryvnia price fixed in the confirmed invoice. Payment methods: - bank transfer against an invoice to KUROSIO LLC (ТОВ «КУРОСІО»), VAT included; - payment to a sole proprietor (FOP, group 2) without VAT; - cash or card via a POS terminal at the warehouse, with a receipt issued. Payment is made outside the Site: the Site does not accept or store payment data. By default, the Goods are released after 100% payment. ## 5. For made-to-order or cut-to-size items, the dispatch time is agreed separately. The Seller packs the Goods according to the requirements of the chosen carrier. Additional packaging, a rigid frame or a pallet are charged separately. The risk of accidental loss of or damage to the Goods passes to the Buyer from the moment the Goods are handed over to the Buyer, the Buyer’s representative or the carrier. Claims for damage in transit are made to the carrier; on request, the Seller provides the documents needed for this. If the Buyer has not collected paid Goods from the warehouse within 14 calendar days after being notified that they are ready, the Seller may charge a storage fee at the current rate. ## 6. Quality, natural characteristics of wood and acceptance The Goods comply with the applicable standards and technical specifications for the relevant species, grade and type of material. **Natural characteristics are not a defect.** Veneer and wood are natural materials. Differences in shade, figure and texture between sheets, bundles and batches, and the presence of knots, medullary rays, colour streaks, sapwood and mineral inclusions within the declared grade are natural properties of the material and are not considered inadequate quality. The material darkens and changes shade under the influence of light and time. The Seller does not guarantee a match with a previously purchased batch, so we recommend ordering the entire volume for a project in one batch. **Tolerances.** Actual dimensions, thickness, moisture content and usable yield may deviate from the nominal ones within the limits set by the standard or agreed in the order. The length and width of veneer sheets in a bundle may be uneven — this is a feature of the material. **Storage after receipt.** The Buyer must store the Goods in a dry, enclosed room, on a level base, away from direct sunlight and fluctuations in temperature and humidity. The Seller is not liable for warping, cracking, delamination or mould caused by a breach of storage or processing conditions on the Buyer’s side. **Acceptance.** The Buyer checks the Goods for quantity, assortment, visible damage and completeness at the moment of receipt and before starting work with the material. Discrepancies in quantity and obvious damage are recorded on the day of receipt — with photographs and a note on the delivery note, or with a report. Defects discovered later: - **A Consumer** has the rights provided by Article 8 of the Law of Ukraine “On Consumer Rights Protection”: they may make claims regarding defects within the warranty period (14 calendar days). - **A sole proprietor or a legal entity** makes claims regarding defects or deviations from the specification within 14 calendar days from the date of receipt. Processing the Goods (cutting, gluing, sanding, finishing) means that they have been accepted as to quality The Seller is not liable for defects arising from the Buyer’s processing, installation, improper storage or use of the Goods. The review period is up to 30 calendar days from the date the claim is received, unless the law sets a shorter period. ## 7. Returns and exchange **Distance orders (Consumer).** The Goods are returned in an unaltered condition. Opening the packaging and inspecting the Goods do not deprive the Consumer of the right to withdraw. The costs associated with returning the Goods are borne by the Seller. The Seller refunds the amount paid without delay, and no later than 30 days from the day the goods are returned to the warehouse. **Purchase at the warehouse (Consumer).** Non-food Goods of proper quality may be exchanged within 14 days, not counting the day of purchase, provided they have not been used and their marketable condition, consumer properties, labels and the payment document have been preserved (Article 9 of the Law). If similar Goods are not on sale, the Consumer may choose other Goods with the price recalculated, a refund, or an exchange when similar Goods first arrive. **What cannot be returned or exchanged.** The right to return or exchange Goods of proper quality does not apply to: - sawn timber, mouldings (skirting, architrave) and board materials (MDF, chipboard, plywood) cut or sized to dimensions specified by the buyer (Resolution of the Cabinet of Ministers of Ukraine of 19.03.1994 No. 172); - Goods made or reworked to the Buyer’s order — in particular veneer cut or formatted to size — if the contract was concluded at a distance (clause 3 of Part 5 of Article 13 of the Law). **Sole proprietor or legal entity.** Goods of proper quality are returned only with the Seller’s consent, documented separately. Goods of inadequate quality are replaced, completed, or their cost is refunded in accordance with section 6. ## 8. Rights and obligations of the parties **The Seller must:** hand over the Goods in the agreed quantity and quality, and provide a delivery note and other documents required by law. **The Seller may:** change prices, the range and the terms of this offer for the future; refuse to fulfil an order on the grounds stated in section 3; suspend dispatch if the Buyer breaches payment deadlines. **The Buyer must:** provide accurate details; pay for and accept the Goods on time; check them on receipt; comply with the storage and processing conditions. **The Buyer may:** receive full information about the Goods, their price and the terms of handover; demand proper performance of the contract; exercise consumer rights if the Buyer is a natural person. ## 9. Liability and force majeure The parties are liable for failure to perform their obligations in accordance with the legislation of Ukraine. For Buyers who are sole proprietors or legal entities, the Seller’s liability is limited to the value of the Goods under the relevant delivery note; the Seller does not compensate lost profit, the cost of third-party work, production downtime or other indirect losses. For Consumers, the Seller’s liability is determined by law and is not limited by this offer. The Seller is not liable for the result obtained during further processing of the Goods by the Buyer, or for the choice of species, grade or thickness if the Buyer determined them independently. The parties are released from liability for failure to perform obligations caused by force majeure: hostilities, missile strikes, the introduction of or changes to martial law, air-raid alerts, emergency and scheduled power outages, road blockades, embargoes, decisions of public authorities, natural disasters, epidemics. The party affected by such circumstances notifies the other party within a reasonable time. Performance deadlines are extended for the duration of these circumstances. ## 10. Personal data By placing an order, the Buyer consents to the processing of their personal data (name, phone, e-mail, delivery address, the entrepreneur’s registration details) in accordance with the Law of Ukraine “On Personal Data Protection” of 01.06.2010 No. 2297-VI. The data are processed for the purposes of order fulfilment, delivery, accounting and tax records, warranty service and, with separate consent, information about promotions and new products. The data may be passed to carriers, payment and accounting services solely to the extent needed to fulfil the order. The Buyer may obtain information about their data, request its correction or deletion, and withdraw consent to mailings by writing to [woodwayexpert@gmail.com](mailto:woodwayexpert@gmail.com). The processing procedure is described in more detail in the [Privacy Policy](/en/privacy-policy/) published on the Site. ## 11. Term and other provisions The offer is valid from the date of its publication on the Site until it is withdrawn or replaced by a new version. The Seller may amend the offer unilaterally; a new version takes effect from the moment it is published on the Site and does not apply to orders already confirmed. The contract remains in force until the parties have fully performed their obligations under the relevant order. If the parties have concluded a separate written supply contract, the terms of that contract prevail in case of discrepancies. The terms of this offer do not limit the rights of Consumers established by the Law of Ukraine “On Consumer Rights Protection”. After the Law of 10.06.2023 No. 3153-IX enters into force, its provisions apply to relations with Consumers even if the text of the offer has not yet been updated. All materials on the Site — texts, photographs, catalogues, logos and the WoodWay Expert trademark — are the Seller’s intellectual property and may not be used without its written consent. Disputes are resolved through negotiation. If no agreement is reached, the dispute is referred to a court with jurisdiction as established by the legislation of Ukraine. The relations of the parties are governed by the law of Ukraine. ## 12.
